Small Entity Update Act

Sponsored by Ann WagnerRep. Ann Wagner (R-MO)
Introduced April 20, 2023

AI-Generated Summary

Updated January 20, 2026 at 6:32 AM UTC

The Small Entity Update Act directs the Securities and Exchange Commission (SEC) to examine and potentially revise how it defines a “small entity” for securities law purposes. Within a year of enactment, and again five years later, the SEC must study the current definition, consider market growth and regulatory flexibility, and report its findings and recommendations to Congress. The Act also requires the SEC to update its rules based on the study and to adjust any dollar thresholds for inflation every five years. The changes would affect small businesses, organizations, and governmental jurisdictions that fall under the SEC’s regulations.

Key Provisions

  • Define “small entity” based on the existing federal definition and include small business, small organization, or small governmental jurisdiction as defined by the SEC.
  • Require the SEC to conduct a study of the small entity definition within one year of enactment and again five years later, evaluating alignment with the Regulatory Flexibility Act, market growth, and the number of entities covered.
  • Mandate the SEC to submit a report to Congress with study results and detailed recommendations to amend the definition to cover more entities.
  • Require the SEC to undertake rulemaking, with public notice and comment, to revise its rules in line with each study’s findings.
  • Instruct the SEC to adjust all dollar figures in the small entity definition for inflation based on the CPI, initially and every five years thereafter.
