AI-Generated Summary

Updated January 20, 2026 at 3:11 AM UTC

The Fair Investment Opportunities for Professional Experts Act amends the Securities Act of 1933 to expand and clarify who can be considered an accredited investor. It adds a net‑worth test that excludes a person’s primary residence and updates the threshold for inflation. It also creates new categories for licensed brokers or advisers and for individuals with verified professional education or experience related to investments.

Key Provisions

  • Redesignates existing accredited‑investor subparagraphs and inserts a new net‑worth category (B) for individuals whose net worth (or joint net worth with a spouse) exceeds $1 million, excluding the value of their primary residence.
  • Requires the $1 million threshold to be adjusted for inflation every five years to the nearest $10,000 based on the CPI.
  • Specifies that debt secured by the primary residence up to its fair market value is not counted as a liability, with excess secured debt counted as a liability.
  • Keeps the existing income‑based accredited‑investor test (C) of $200,000 individual or $300,000 joint income for the past two years with a reasonable expectation of similar income.
  • Adds a new category (D) for any person licensed or registered as a broker or investment adviser by the SEC, FINRA, or comparable state or territorial regulators.
  • Adds a new category (E) for individuals the SEC determines have demonstrable education or job experience giving them professional knowledge of a specific investment, verified by FINRA or an equivalent self‑regulatory organization.
  • Directs the SEC to revise Regulation D’s definition of accredited investor to match these amendments.
