ACCESS Rural America Act

Introduced November 7, 2023

AI-Generated Summary

Updated January 20, 2026 at 12:50 PM UTC

The ACCESS Rural America Act changes the Securities Exchange Act of 1934 to give smaller, rural‑focused companies a lighter registration burden. It creates an exemption for issuers that receive federal universal service support, provided they meet certain reporting and size limits. The rule mainly affects small companies in rural, insular, or high‑cost areas that have modest assets and a limited number of non‑accredited shareholders.

Key Provisions

  • Adds an exemption from the usual registration requirement for securities of issuers that received federal universal service support for rural, insular, or high‑cost areas.
  • Requires the issuer to file a financial summary with the SEC within 120 days after the fiscal year end and to give the same summary to each holder of record.
  • Sets the shareholder threshold for the exemption: more than 500 but fewer than 2,000 non‑accredited investors must hold the security on the last day of the prior fiscal year.
  • Limits the exemption to issuers with total assets of $10 million or less, with the asset cap adjusted for inflation every five years.
