The Promoting Opportunities for Non‑Traditional Capital Formation Act updates the Securities Exchange Act of 1934 to make the Advocate for Small Business Capital Formation responsible for providing education and hosting events that raise awareness of financing options for small businesses that are traditionally under‑represented. It focuses on women‑owned, minority‑owned, rural, and disaster‑affected businesses, and requires annual coordination meetings with state securities regulators.

Key Provisions

  • Amends the Securities Exchange Act of 1934 to add a new sub‑paragraph (I) that requires the Advocate for Small Business Capital Formation to create educational materials and hold events that inform small businesses and investors about capital‑raising options.
  • The educational outreach must specifically target under‑represented small businesses, including women‑owned, minority‑owned, rural‑area businesses, and those impacted by hurricanes or other natural disasters.
  • Adds a new sub‑paragraph (J) obligating the Advocate to meet at least once a year with representatives of State securities commissions to discuss how to work together to help small businesses and their investors.
