Introduced July 15, 2026

AI-Generated Summary

Updated July 25, 2026 at 4:41 AM UTC

The ACCESS Rural America Act creates a registration exemption for securities issued by rural telephone companies that provide broadband service. By easing securities filing requirements, the bill aims to help these small providers raise capital while still giving investors key financial information. The exemption applies only to companies with limited broadband subscriber bases and to securities held by a broad group of non‑accredited investors.

Key Provisions

  • Adds a new exemption under Section 12(g)(2) of the Securities Exchange Act for securities of rural telephone companies that provide broadband internet service.
  • To qualify, the issuer must file a financial summary with the SEC within 120 days after its fiscal year, including a balance sheet, income statement, broadband subscriber data, and any other material information the SEC deems necessary.
  • The company and its affiliates must have no more than 100,000 broadband subscribers in the United States at the end of the prior fiscal year.
  • The exempt security must be held of record by more than 500 non‑accredited investors and fewer than 2,000 total holders.
