The Encouraging Public Offerings Act of 2017 updates the Securities Act of 1933 to let any company, not just emerging growth firms, test market interest and submit draft registration statements confidentially. It sets timing rules for when these drafts must become public and gives the SEC authority to add extra requirements for larger issuers, with a mandatory report to Congress before new rules are adopted. The changes aim to make it easier and more flexible for companies to prepare for public offerings.

Key Provisions

  • Amends the “testing the waters” rule so that any issuer (not just emerging growth companies) can make oral or written communications about a potential offering, and lets the SEC set additional conditions for non‑emerging growth issuers after a report to Congress.
  • Allows any issuer to submit a draft registration statement to the SEC confidentially before an IPO, with the draft and any amendments required to be made public at least 15 days before the issuer’s roadshow or, if there is no roadshow, 15 days before the desired effective date.
  • Extends the confidential draft‑submission option to a period of up to one year after an issuer’s IPO or exchange registration, with the same 15‑day public‑filing deadline before a roadshow or effective date.
  • Authorizes the SEC to issue further regulations on these confidential submissions for non‑emerging growth issuers, subject to public notice and comment, and requires the SEC to report its findings to Congress before any such rulemaking.
