Protection of Source Code Act

Introduced October 4, 2017

AI-Generated Summary

Updated April 15, 2026 at 6:22 PM UTC

The Protection of Source Code Act would stop the Securities and Exchange Commission (SEC) from forcing anyone to hand over algorithmic trading source code or similar intellectual property unless the SEC first serves a subpoena. The bill adds this requirement to several existing securities laws, meaning it applies to companies and individuals covered by the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, and the Investment Advisers Act of 1940.

Key Provisions

  • Amends the Securities Act of 1933 to require the SEC to issue a subpoena before it can compel a person to produce algorithmic trading source code.
  • Amends the Securities Exchange Act of 1934 with the same subpoena requirement for any person subject to that act.
  • Adds the subpoena requirement to the Investment Company Act of 1940, applying to investment companies.
  • Adds the subpoena requirement to the Investment Advisers Act of 1940, applying to investment advisers.
