Introduced July 14, 2023

AI-Generated Summary

Updated January 20, 2026 at 9:58 AM UTC

The Businesses Over Activists Act amends the Securities Exchange Act of 1934 to stop the SEC from forcing companies to include or discuss shareholder proposals in their proxy statements. It applies to publicly traded issuers and limits the SEC’s authority over proxy materials, while preserving any state regulations on the same matters.

Key Provisions

  • Adds a new subsection to Section 14(a) stating the SEC may not compel an issuer to include any shareholder proposal or any discussion of such proposals in its proxy statement, except as otherwise provided.
  • Specifies that nothing in the Act gives the SEC authority to override state laws governing shareholder proposals or proxy and consent solicitation materials.
