Greenlighting Growth Act

Introduced May 13, 2025

AI-Generated Summary

Updated November 24, 2025 at 12:36 AM UTC

The Greenlighting Growth Act changes federal securities rules so that emerging growth companies are not required to include financial statements of acquired businesses for periods before the earliest audited financial period they disclosed at their IPO or registration filing. The change applies to both the Securities Act of 1933 and the Securities Exchange Act of 1934, and it continues to protect companies after they cease to be classified as emerging growth companies.

Key Provisions

  • Amends the Securities Act of 1933 to add a new rule (subparagraph B) that lets an emerging growth company skip providing financial statements of any acquired company for periods earlier than the earliest audited period it presented at its IPO.
  • Amends the Securities Exchange Act of 1934 to similarly allow an emerging growth company, when filing registration statements, to omit acquired‑company financial statements for periods before its earliest audited period presented at the time of filing.
  • Specifies that once a company is no longer classified as an emerging growth company, it still cannot be forced to provide pre‑earliest‑audited‑period financial statements of either itself or any acquired company.
