Small Entity Update Act

Introduced May 14, 2025

AI-Generated Summary

Updated November 24, 2025 at 12:33 AM UTC

The Small Entity Update Act directs the Securities and Exchange Commission to review and potentially revise how it defines a “small entity” under the securities laws. The bill requires the SEC to study the definition, report its findings and recommendations to Congress, and update its rules accordingly, with inflation adjustments every five years. The changes would affect small businesses, organizations, and local governments that are subject to SEC regulations.

Key Provisions

  • The SEC must conduct a study on how it defines “small entity” for its regulatory purposes, looking at how the current definition matches the Regulatory Flexibility Act, how markets have grown, and how to keep the definition inclusive.
  • Within one year of the law’s enactment, and again five years later, the SEC must send Congress a report with the study’s findings and detailed recommendations for changing the definition.
  • After each study, the SEC must go through the normal notice‑and‑comment process to revise its rules to reflect any new definition.
  • Every five years after a rule change, the SEC must adjust any dollar thresholds in the definition for inflation using the Consumer Price Index.

Not later than 1 year after the date of enactment of this Act, and again 5 years thereafter, the Commission shall—

(1)

conduct a study of the definition of the term small entity with respect to the activities of the Commission for the purposes of chapter 6 of title 5, United States Code, which shall consider—
