The Paycheck Protection Program Flexibility Act of 2020 changes the rules for PPP loan forgiveness and repayment. It lengthens the period during which borrowers can qualify for forgiveness, lets them keep forgiveness even if they cannot re‑hire employees who left before February 15 2020, removes caps on the non‑payroll portion of a loan, requires a minimum five‑year loan term, and permits borrowers to defer payroll taxes on forgiven amounts. The changes apply to all PPP loans made under the Small Business Act and the CARES Act.

Key Provisions

  • Extends the PPP “covered period” to the earlier of 24 weeks after loan origination or December 31 2020.
  • Allows forgiveness without a reduction in full‑time equivalent employees if the borrower cannot rehire employees who left before February 15 2020 or cannot hire similarly qualified workers by December 31 2020.
  • Eliminates any limitation on the non‑payroll portion of a forgivable loan.
  • Sets a minimum loan maturity of five years for PPP loans that retain a balance after forgiveness.
  • Removes the requirement that borrowers pay employer payroll taxes on forgiven amounts, allowing those taxes to be deferred.
